These Terms and Conditions constitute a legally binding agreement between you and Syntax Lab Technology, operated by Abdul Rafay, regarding your access to and use of the Lumo personal finance application and related services. By creating an account, accessing, or using Lumo, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use Lumo.
Nature of Service and Financial Disclaimer
Lumo is a software tool designed for personal financial record-keeping, budgeting, and analysis. We provide a digital ledger and calculation framework only. Lumo does not constitute financial, investment, accounting, or tax advice, and we are not a financial institution, bank, or fiduciary. You acknowledge that Lumo does not manage, transfer, or hold actual currency or securities, and all financial decisions based on data within Lumo remain your sole responsibility. We make no representations regarding the accuracy of any financial calculations, projections, or aggregations provided by the application, and you agree to verify all critical financial information independently before making monetary decisions.
Account Registration and Eligibility
To use Lumo, you must create an account and represent that you are at least thirteen years of age or the minimum legal age in your jurisdiction to form a binding contract. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. Accounts may be created using authentication providers such as Google or Apple, but you remain responsible for maintaining the confidentiality and security of your access credentials across all platforms. We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.
The One-Device Policy and Technical Constraints
Lumo operates under a strict one-active-device policy as a core architectural and security feature. Upon account creation, you will receive a recovery code that serves as the sole mechanism for device transfer or account recovery. You acknowledge and accept that this recovery code is generated once and cannot be regenerated, reset, or recovered by Syntax Lab Technology if lost. If you lose access to your authenticated device and have not securely stored your recovery code, you will permanently lose access to your account and all associated data, and we bear no liability for such loss. You may not circumvent, attempt to bypass, or interfere with the one-device enforcement mechanism, and any such attempt constitutes a material breach of these Terms.
User Data and Content Responsibility
All financial data, transaction records, receipts, and content input into Lumo is your sole property, but you grant Syntax Lab Technology a worldwide, non-exclusive, royalty-free license to use, process, store, and display such data solely for the purpose of operating and improving the service. You represent that you have the right to input all data and that such data does not violate any third-party rights or applicable laws. You acknowledge that while we employ security measures including encryption at rest and in transit as described in our Privacy Policy, no digital storage system is impervious to breach, and you use Lumo at your own risk regarding data security. You are solely responsible for maintaining backups of your data through our export functionality, and we are not liable for any data loss resulting from service interruptions, software errors, or security incidents.
Acceptable Use and Prohibited Activities
You agree to use Lumo only for lawful personal financial management purposes. You may not use Lumo for commercial accounting or multi-user business purposes without explicit written agreement. Prohibited activities include attempting to reverse engineer the application, scraping data, interfering with other users' accounts, uploading malicious code, using automated systems to access the service, or attempting to breach security measures. You may not use Lumo to store or process data that is illegal, fraudulent, or infringing upon intellectual property rights. Violation of these prohibitions may result in immediate account termination, data deletion, and potential legal action.
Data Portability and Service Continuity
While Lumo provides data export functionality in standard formats including JSON and PDF, we do not guarantee the indefinite availability of the service. We reserve the right to modify, suspend, or discontinue Lumo or any features thereof at any time with or without notice. In the event of service discontinuation, we will endeavor to provide reasonable notice and data export opportunities, but we make no guarantee of data preservation beyond the active service period. You bear full responsibility for regularly exporting your financial data to ensure continuity of your records independent of Lumo's operational status.
Intellectual Property Rights
Lumo, including all software, algorithms, user interfaces, graphics, logos, and documentation, is the exclusive property of Syntax Lab Technology and Abdul Rafay and is protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-transferable, non-exclusive, revocable license to use Lumo for personal purposes in accordance with these Terms. This license does not permit resale, redistribution, or creation of derivative works. You retain ownership of your input data, but all aggregated, anonymized data derived from user inputs becomes the property of Syntax Lab Technology for analytical and service improvement purposes.
Disclaimer of Warranties
Lumo is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We explicitly disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that Lumo will be uninterrupted, timely, secure, error-free, or accurate. You acknowledge that the application may contain bugs, errors, or inaccuracies that could affect your financial calculations, and you assume all risk for use of the service. No advice or information obtained from Lumo or Syntax Lab Technology representatives shall create any warranty not expressly stated in these Terms.
Limitation of Liability
To the maximum extent permitted by applicable law, Syntax Lab Technology, Abdul Rafay, and their officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages including lost profits, lost data, business interruption, or reputational harm arising from your use of or inability to use Lumo, regardless of the legal theory asserted and even if advised of the possibility of such damages. Our total cumulative liability for any claims arising under these Terms shall not exceed the amount you paid for Lumo services in the twelve months preceding the claim, or one hundred dollars, whichever is greater. You acknowledge that these limitations reflect a reasonable allocation of risk and are fundamental elements of the bargain between you and Syntax Lab Technology.
Indemnification
You agree to indemnify, defend, and hold harmless Syntax Lab Technology and Abdul Rafay from and against any claims, liabilities, damages, losses, and expenses including reasonable attorneys' fees arising out of or in any way connected with your access to or use of Lumo, your violation of these Terms, your violation of any third-party rights including intellectual property or privacy rights, or your misuse of financial data processed through the application.
Termination
We may terminate or suspend your account and access to Lumo immediately, without prior notice or liability, for any reason including breach of these Terms. Upon termination, your right to use Lumo ceases immediately, and we may delete your data in accordance with our data retention policies outlined in the Privacy Policy. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of Lumo shall first be attempted to be resolved through good faith negotiation. If resolution is not achieved within sixty days, disputes shall be submitted to binding arbitration in Delhi, India, under the Arbitration and Conciliation Act, 1996, with proceedings conducted in English. You waive any right to participate in class actions or class-wide arbitration, and any arbitration shall be conducted on an individual basis only. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for matters related to intellectual property rights or data security breaches.
Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the application at least thirty days before becoming effective. Your continued use of Lumo following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the new terms, you must stop using Lumo and delete your account.
Severability and Waiver
If any provision of these Terms is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force. No waiver of any term shall constitute a continuing waiver or waiver of any other term.
